<The supreme purpose of the Federation shall be the
preservation, development, and administration of the sport of bicycle
racing within the United States of America.
<The Federation shall conduct or coordinate programs for all
aspects of amateur and professional bicycle racing competition.
<The Federation shall establish rules governing the conduct
of bicycle races to ensure fair competition and prevent frauds.
<The Federation shall conduct or participate in programs to
assist riders in the development of their competitive skills and to ensure
safe competition.

<The Federation shall conduct National Championships and
select teams to represent the United States of America in international
and Olympic competition.
<The Federation shall represent the sport of bicycle racing
in the United States of America to other national, international, and
Olympic sports organizations.

and approved records pertaining to the sport.
<The Federation shall seek to uphold the rights and interests
of cyclists and to communicate these interests to governmental authorities
and to the general public.
<The Federation shall be organized to provide fair
representation, directly or by affiliation, for all individuals and
organizations which participate in the sport.

<Membership in the Federation is open to all individuals who participate
in the sport of bicycle racing as athletes, coaches, trainers,
managers, administrators, or officials.
Such individuals shall have an equal opportunity to participate in bicycle
racing without discrimination on the basis of race, color, religion, age,
sex, or national origin.
Such participants may be required to obtain a Federation license in order
to participate and shall be subject to Federation regulations, but
may not be declared ineligible to participate without fair notice and
an opportunity for a hearing.

conducts bicycle racing programs.
However, any such member organization that has individual members
may not discriminate in admitting such members
on the basis of race, color, religion, age, sex, national origin, or

this section. The representation of other types of members shall be as
provided in the Bylaws.

the name of one delegate and one alternate to represent the club prior to
each meeting of the delegates.

>Every club which in the preceding calendar year had at least five
eligible licensees as members is entitled to one vote, plus one vote
for each additional 10 eligible licensees to a maximum of 6 votes.

and who was at least 15 years old on December 31 of the preceding year.

Federation shall be committed to a Board of Directors consisting of

for bicycle racing of the Athlete's Advisory Council of the United States

<The Board of Directors shall explain, define, and interpret
any provision of the Consititution or subordinate regulations.

<The following order of precedence shall be used to resolve
any conflict between the various rules of the Federation: 1) the
Constitution, 2) the Schedule of Fees, 3) the Bylaws, 4) the Racing
Rules, 5) any regulations passed by the Board of Directors, 6) any other
regulations issued by any representative of the Board of Directors or of
the Federation.

<The geographical structure of the Federation shall be based upon
three Sections: Central, East, and West.
Sections shall be divided into regions and regions into
districts, as specified in the Bylaws.
>Sections shall have approximately equal numbers of registered
riders and be geographically coherent. The same criteria apply to regions
within any given section.

>The geographical extent of districts shall be chosen
primarily to facilitate an efficient racing program within each district.

<All meetings of the Federation and of its Directors shall
be governed by Robert's Rules of Order in all cases in which they are
applicable and in which they are not inconsistent with the Constitution and
Bylaws of the Federation.

<All meetings of the Federation and of its directors shall shall be open
to the public; however, an executive or closed session of the directors
may be held if requested by a majority vote of the directors present.

<Wherever formal notice is to be given under this Constitution

the notice shall be deemed delivered, if mailed, when so addressed and
deposited in a postage-paid envelope in the United States Mail and, if by
telegram, when delivered to the telegraph office.

<Failure of literal or complete compliance with provisions
of the Constitution or Bylaws in respect of dates and times of notice or
the sending or receipt of the same, or errors in phraseology of the notice
of proposals, which in the judgment of the members at meetings held do not
cause substantial injury to the rights of members, shall not invalidate
the actions or proceedings of members at any meeting.

<ELECTION, RESIGNATION AND REMOVAL OF DIRECTORS

>Geographical director candidates may be nominated for election
to the Board of Directors by
member clubs, by petition of five persons to
whom licenses have been issued by the Federation, or by a nominating
committee of the Board of Directors.
Each candidate must accept the nomination in writing in order to be
placed on the ballot.
The clubs from each section shall elect eight Directors from their
respective section to comprise the Board.
At least one director shall be elected from each region, if one has been
nominated.
A candidate's region is determined by his or her residence at the time of
nomination.
>In each section at least two Directors must either be currently active
bicycle racing competitors or have represented the United States of America
in international bicycle racing competition within the last ten years.

>Elections shall be held annually prior to the annual meeting of delegates.
Member clubs shall be sent nominating forms and ballots at least 30 days
in advance of their due dates.
All directors will be elected for a two year term of service, with
half of the directors elected annually.
.ind vacancies on Board of Directors
>Vacancies among directors elected by membership sections or groups
shall be filled by action of the members or groups entitled to vote
thereon; except that if a vacancy remains unfilled for six months
and, by reason of absence, illness or other inability of one or more
of the remaining directors a quorum of the Board cannot be obtained,
then the remaining directors, or a majority of them, may appoint a director
to fill the vacancy.
If a vacancy occurs and more than six months remain until the next
regular election, a special election to fill the vacancy shall be held
according to the same nomination and election procedures as the regular
election.

>Any Director may resign at any time by giving written notice to the President
or the Board of Directors.
Such resignation shall take effect immediately upon the giving of notice
unless otherwise specified therein, and the acceptance of such resignation
shall not be necessary to make it effective.
.ind removal of directors
>Directors may be removed by a majority vote of the members or group
that they represent.
A vote shall be held upon petition to the Secretary by eligible voters
holding at least 10α% of the votes.
<NOTICE OF MEETINGS
>Regular meetings of the Board of Directors shall be held at such time and
place as the Board shall designate and notice of such regular meetings
need not be given.
>Special meetings of the Board may be held upon the call of the President
or upon the written request to the Secretary of any five Directors, at
such place as may be designated in the notice of such meeting.
Notice of the time, place, and purpose of any special meeting of the Board
shall be given by the Secretary by mail, telegram, or personal delivery to
each Director at least 10 days before such meeting.
>Any Director may waive notice of any meeting.
Attendance by a Director at any meeting shall constitute a waiver of such
notice unless the Director attends the meeting for the express purpose
of objecting to the transaction of any business because the meeting is not
lawfully called or convened.

<At all meetings of the Board of Directors, a majority of
directors then in office shall constitute a quorum for the transaction of
business.
The act of a majority of Directors present at a meeting at which there is
a quorum shall be an act of the Board.
<The President of the Federation shall preside at all meetings of the Board
of Directors.
The Secretary of the Federation shall act as Secretary at all meetings of
the Board of Directors.
In the absence of the President, the Board may select one of its members to
preside.
In the absence of the Secretary, the presiding officer may appoint any person
to act as Secretary of the meeting.
<On issues that are to be decided by a majority vote of the
Board, the presiding officer shall not normally vote, but
shall have the power to cast the deciding vote in case of a tie.

<Any action required or permitted to be taken by the Board of Directors or
any committee thereof may be taken without a meeting if all the members of
the Board or committee consent in writing to the adoption of the resolution
authorizing the action.
The resolution and written consents thereto shall be filed with the

<Any one or more members of the Board of Directors or any committee thereof
may participate in a meeting of such Board or committee by means of a
conference telephone or similar communications equipment allowing all
persons participating in the meeting to hear each other at the same time.
<ELECTION AND REMOVAL OF OFFICERS

>Within 60 days after the annual meeting of delegates
occurring in odd numbered years, the Board of Directors
shall take office at a meeting presided over by a temporary chairman and
shall elect a President, Secretary, Treasurer, Technical Chairman,
and three Vice Presidents to serve as officers of the
Federation for two years or until they cease being directors.
Votes for officers will be cast by secret written ballot.
Election shall be based on a majority of votes cast.
>The three Vice Presidents shall be elected by and from among the directors
of the three sections.
The other officers shall be elected by and from among the entire Board of
Directors.
>After the election of the Vice Presidents, the entire Board of Directors
shall determine which of them shall be First Vice President, Second Vice
President, and Third Vice President.
>The term of office of any individual serving as President shall be limited
to four consecutive years.
>Any officer elected or appointed by the Board of Directors may be removed
by a majority vote of the Board with or without cause.

<The Board of Directors may designate from among its members an
executive committee or other standing committees, each consisting of
three or more directors.
To the extent determined by the Board, such committees may have the
authority of the Board in the management of the business of the
Federation.
Said committees may act only in the interval between meetings
of the Board and at all times are subject to the control and direction
of the Board.

The Board may designate one or more directors as alternate members of
any standing committee, who may replace any absent member or members
at any meeting of such committee.

The Board may create such special committees as may be deemed desirable.
Special committees shall have only the powers delegated to them by the
Board.

<At all meetings of delegates, a quorum shall consist of delegates holding

meeting.

place to be designated by a majority vote of the Board of Directors.
Not less than 30 days notice of such meeting shall be given by the
Secretary of the Federation.

<Special meetings of delegates may be called by the President by a two-thirds
majority vote
of the Board of Directors, or upon the written request of members
entitled to cast 10α% of the total number of votes which
may be cast at the meeting, and not less than ten days notice shall
be given by the Secretary to each member of the Federation of such meeting
with a statement of location of such meeting and the object thereof.

<Any individual representing the Federation shall not participate
in the evaluation or approval of a contract with a supplier to furnish
goods or provide services to the Federation if that individual will
directly or indirectly benefit financially or otherwise receive any form
of compensation from or have an interest in any supplier under
consideration.
<In the event of a violation of this provision, the Federation
shall have the right to recover such benefit or payment and to void the
contract or transaction.

<Amendments to the Constitution may only be made at the
annual meeting of delegates by a 2/3 vote of the total votes cast,
abstentions not being counted.
Amendments to the Bylaws and Racing Rules may be
made at the annual meeting by a simple majority of the total votes cast,
abstentions not being counted.
.ind Legislation Committee
<A member club may propose amendments to the
Constitution, Schedule of Fees, Bylaws, and Racing Rules. The
Legislation Committee, on behalf of the Board of Directors, may submit
additional proposals.
<All proposed amendments must be submitted to the Federation office
in writing postmarked
by May 1 of the year in which they are to be considered.

Member clubs shall be advised by June 15 of any and all such proposed changes.

<No changes other than those on the agenda shall be
considered at the annual meeting unless they affect merely the form and
not the substance of properly proposed amendments.
Nevertheless, if more than one amendment has been proposed on the same
subject matter and there are substantive differences between such amendments,
the annual meeting may, after due consideration of such proposals, adopt
a compromise of substance as well as form; and, if the adoption of an amendment
as proposed or amended or compromised is inconsistent or in conflict with
other parts of the Constitution, Bylaws, or Racing Rules, the annual meeting
may adopt conforming amendments appropriate to the case.

<Amendments approved by the membership at the annual meeting shall take
effect on January 1 of the following year, unless otherwise specified.
.ind changes to Bylaws and Rules
<Changes to the Bylaws and Racing Rules may be made by the Board
of Directors, but such changes must be approved by a two-thirds vote
of the entire Board.
Such changes shall take effect on January 1 of the following year unless
the Executive Committee has declared by a 3/4 vote that an emergency
exists requiring otherwise specified implementation.
<SCHEDULE OF FEES

>Each year the Board shall adopt and publish by December 1 a
Schedule of Fees for the following year's activities listing all dues,
fees, or other regular charges to be collected by the Federation.

A 2/3's majority of the Directors voting shall be required for adoption.
The annual meeting may adopt for the following year all or part of the
Schedule by a 2/3's majority of the members voting.
If a new Schedule is not adopted in time for any reason, the previous
year's Schedule shall be used without change.

>After adoption and publication, amendments to any year's
Schedule of Fees shall require a 3/4's majority vote of the entire Board;
and the provisions of Section {(section-1)} for the effective date and for
notification shall apply. However, items adopted at the annual meeting
may not be changed by the Board during the year to which they apply.
